Court Holds Definitive Consulting Services Ltd. in Contempt for Soliciting Ryan ULC Employees; Confirms the Right of Ryan Principal Brendan F. Moore to Provide Tax Services in Canada

Dallas, Texas -- Ryan, the leading tax services firm in North America, with the largest transaction tax practice in the United States and Canada, today announced that Justice Echlin of the Ontario Superior Court found Definitive Consulting Services Ltd. (formerly Brendan Moore & Associates) in contempt for violating an interim injunction against the solicitation of Ryan ULC employees. Justice Echlin also held Mr. Robert Dew personally in contempt of the injunction and ordered him to pay a fine of $2,500. Mr. Dew is a founder and member of the management team of Definitive Consulting Services Ltd. (“Definitive”).

In a significant milestone in the continuing litigation between Definitive and Mr. Brendan F. Moore, its founder and former Chief Executive Officer (CEO), the Court also dismissed a contempt motion brought by Definitive claiming Mr. Moore had violated an injunction restraining him from competing in the sales tax recovery business in Canada until November 17, 2010. Justice Echlin also refused a request by Definitive to extend the injunction for six months and ordered that Definitive pay total costs and fines approaching $100,000.

As a result, Mr. Moore is free to provide a comprehensive range of Ryan tax consulting and advisory services—including Canadian sales tax—to all companies in Canada beginning November 18, 2010. Mr. Moore joined Ryan Property Tax Services ULC in April 2009.
