Our Approach
Ryan’s custom modeling approach allows managers to ensure forecasts are consistent with internal expectations to lessen review times and increase confidence in decision-making. Our experienced analysts deliver dynamic, easy-to-follow models, and assist in the training and implementation process, therefore increasing confidence in your optimized business decisions.
We build highly dynamic, easy-to-follow models for forecasting and budgeting purposes using industry-recognized best practices. A dynamic discounted cash flow (DCF), while not meant to replace other indications of valuation, can give an approximation of value implied by the forecasted cash flows.
EXAMPLE: A 5–10 year forecasted three-way financial statement model
We work with key stakeholders to develop an understanding of the business problem, outlining key assumptions and drivers, and desired outputs. We then create the model using industry-recognized best practices and assist with implementation.
EXAMPLE: A model to investigate the financial impact of whether or not to develop a new product line (go/no-go decision)
Our Model Health Review process analyzes existing models to find critical errors, highlight inconsistencies in logic, generate useful visuals and insights, and provide recommendations on how to improve the model. 90% of all spreadsheets contain errors; these errors potentially have material impacts on the financial and/or KPI outputs of models. A model review will enable those who are already proficient in Excel to ensure their models are accurate and transparent.
M&A Advisory Services
If You’re Buying or Selling
We will help you secure the right investment banker for your situation, or if you already have a buyer or target and don’t want to retain an investment banker, we advise you through the transaction, guide you through the process, and put you in touch with the right people.
Matching Business to Buyer
To match the right business with the right buyer, your merger and acquisition (M&A) advisor needs the right skills. Our team has worked on every type of transaction from large initial public offerings to some of the largest leveraged buyouts in history. We are experts in M&A advising and can help you through every step of the process.
Our Experience Is Your Value
Our team consists of ex-CFOs and investment bankers; we’ve created relationships with thousands of client companies and financial buyers. This makes us able to identify the best-suited parties to a transaction, which ultimately makes the entire process easier for you in your M&A transaction.
Strategic Alternative Planning
What Most Firms Do
Most firms advising small and midsized companies have a vested interest in what the company chooses to do. As such, it may be challenging for them to provide the best possible advice to owners or company leadership without there being some type of bias or agenda.
What We Do
Banks want you to borrow, equity funds want you to take investment, M&A advisors want you to sell, and wealth advisors want you to invest. Economics Partners at Ryan focuses on giving great advice from experienced professionals without the biases that come from other sources.
Experienced Professionals
Many small and midsize companies do not have the advice available to them that larger companies receive from investment bankers. Even these larger companies are frequently getting advice from investment bankers that generate transaction fees for the bank.
Transferring Shares and Voting Power
Ryan is not trying to sell companies any specific product or service. Our only interest is seeing our clients accomplish their goals. As a team of former investment bankers, we’re familiar with all the frameworks, decision trees, positives, and considerations of potential courses of action.
Due Diligence Support
As a Seller
As a seller, it’s important to make certain that your data is organized and accurately represented to avoid scaring away a buyer or lowering your potential exit value. Lack of order and clear presentation of data can also possibly lead to painful claw backs after the acquisition has taken place.
As a Buyer
A buyer must be aware of risks and potential synergies as a transaction is considered. Risks need to be outlined in a disclosure schedule with the ability to withhold escrow for misrepresentations. Potential synergies should be identified with a clear action plan to unlock synergies post-acquisition.
We Extend Your Team
Due diligence is daunting and can be an excessive strain on both time and money. Most buyers and sellers do not have extra resources to dedicate solely to due diligence. We serve as an extension of your team by providing important services at an incredible value to you and your company.
Transaction Analysis
Smaller Companies
Smaller and mid-market firms may not want to take on the cost of an investment bank as they pursue an M&A transaction. As a buyer you may know the target you want to buy and don’t need to pay an advisor fee on top of other transaction expenses.
As a Seller
As a seller, it’s possible that they may already know who they’re wanting to sell to and want to ensure they’re getting the best possible price and structure without necessarily having to pay a large commission to an investment bank or business broker.
As a Buyer
As a buyer, you may need help determining the right price and structure to ensure the transaction you are considering is accretive to your earnings per share. Scenario-based accretion/dilution analysis can give you comfort in your selection.
Professional Valuation
A professional valuation analysis coupled with accretion/dilution analysis can be powerful tools in ensuring intelligent M&A activity. We can also help with 280G analysis (golden parachutes), waterfall analysis, and other challenging transaction modeling.
